When a flag is so worn it is no longer fit to serve as a symbol of the United States, it should be destroyed in a dignified manner, preferably by burning.
The American Legion, Veterans of Foreign Wars, and other organizations regularly conduct dignified flag-burning ceremonies, often on Flag Day, June 14.
Some public libraries and offices have bins that will collect such flags for disposal.

Burning a flag that is too faded and ragged to be displayed is considered acceptable. If you are not comfortable doing this you can turn the flag into the The American Legion, Boy Scouts of America or Veterans of Foregin Wars for disposal.

The only definitive answer is found in the US Flag Code. TITLE 4 > CHAPTER 1 > Sec. 8(k). It states:
“The flag, when it is in such condition that it is no longer a fitting emblem for display, should be destroyed in a dignified way, preferably by burning”

You should give a flag that’s beyond repair to your local government or American Legion Post to dispose of
